Aimed at: Directors of private companies; members of Close Corporations; Practising Accountants and Auditors; Financial Managers and Accountants.

This presentation is specifically aimed at executive management members of legal entities, explaining the legal duties imposed and potential personal liability that may be (unwittingly) incurred.

  1. Constitution of a company, different types of companies in Namibia, constitution of a Close Corporation;
  2. The role of the different stakeholders in a company – shareholders, directors, CEO, Company Secretary, internal and external auditors;
  3. Provisions of the Memorandum & Articles of Association;

  5. The fiduciary duty concept explained;
